Chapter 1 General Provisions

Article 1 (Purpose)

The purpose of these terms and conditions is to define the basic matters such as rights, obligations, and responsibilities between the company and users regarding the use of the Celon service provided by Celon Inc. (hereinafter referred to as "the Company") and all related services (hereinafter referred to as "the Service").

Article 2 (Definitions of Terms)

  1. “Service” refers to all functions related to virtual social-based prediction/analysis capabilities provided by the Company through web/apps/other electronic means (e.g., API, etc.) and all associated functions.

  2. “User” refers to a person who uses the Service in accordance with these terms and conditions.

  3. “Member” refers to a person who agrees to these terms and conditions and enters into a service contract with the Company to use the Service.

  4. “Paid services” refer to items provided for a fee, such as subscriptions/credits/tickets/additional functions that members pay for.

  5. “Content” refers to all documents, texts, images, links, data, scenarios, prompts, etc. (hereinafter referred to as “Input Data”) that members enter, upload, transmit, or link within the Service, as well as materials provided within the Service.

  6. “Results” refer to all predictions, analyses, simulation results, summaries, recommendations, reports, and responses that the Service generates, derives, or provides based on the Input Data.

  7. “Policy” refers to operational policies, payment policies, privacy policies, security policies, guidelines, etc., separately established by the Company and posted on the service screen or homepage.

Article 3 (Posting and Amendment of Terms)

  1. The Company posts the contents of these terms and conditions on the service screen or homepage so that users can easily understand them.

  2. The Company may amend these terms and conditions within the scope of not violating relevant laws.

  3. If the Company revises the terms, it shall notify the effective date and reason for the revision in a reasonable manner during the period prior to the effective date. In cases of changes that are unfavorable to the user or have a significant impact on rights and obligations, the Company may notify the user through reasonable means such as email or service notifications.

  4. If a user does not agree to the amended terms, the user may terminate (withdraw) the service contract.

Article 4 (Rules Outside of Terms)

Matters not specified in these terms shall be governed by relevant laws and policies, and other matters shall follow customary practices. The Company's payment policy and privacy policy are part of these terms.

Chapter 2 Service Contract

Article 5 (Formation of Service Contract)

  1. The service contract is established when the user agrees to these terms and conditions and completes the registration process defined by the Company, and the Company accepts it.

  2. When necessary, the Company may request additional information from the applicant.

Article 6 (Restrictions on Registration)

The Company may refuse or suspend approval for registration in any of the following cases.

  1. If the registration is made using another person's information or if false information is provided.

  2. If the user has a history of being restricted or terminated due to violations of laws or these terms.

  3. If it is deemed necessary for the operation of the Service (e.g., security risks, preventing system failures).

Article 7 (Change of Member Information)

Members must modify and update any changes to the information provided during registration in the manner specified by the Company, and the Company shall not be liable for any disadvantages arising from failures to update them unless there is intent or gross negligence on the part of the Company.

Chapter 3 Provision and Use of Service

Article 8 (Provision of Service)

  1. The Company provides the Service to its members. The specific contents of the Service are subject to the service screen, homepage, and guidance documents.

  2. The Company may change all or part of the Service as necessary for operational or technical reasons, and will notify members in advance of any significant changes.

Article 9 (Interruption of Service)

  1. The Company may temporarily suspend the provision of service for any of the following reasons.

    1. Equipment inspection, maintenance, replacement, malfunction, communication disruption, etc.

    2. Force majeure events such as natural disasters, power outages, national emergencies, hacking/security incidents, etc.

    3. Other reasons that the Company reasonably finds difficult to control.

  2. The Company will make efforts to notify in advance if a service interruption is planned (in urgent cases, notifications may be made afterwards).

Article 10 (Nature and Precautions of AI-Based Results)

  1. The results are estimates, predictions, and analysis information based on Input Data and models/simulations, and do not guarantee that they are the same as actual results.

  2. Members understand that the results are for reference and must consult professionals and conduct additional validations for decision-making in highly cautious areas such as law, medicine, investment, hiring, and credit assessment.

  3. The Company does not guarantee the accuracy, completeness, or suitability for a particular purpose of the results within the limits permitted by law.

Article 11 (Rights and Responsibilities of Content)

  1. Members must hold legal rights regarding the Input Data and must not infringe on third-party rights (copyright, trade secrets, portrait rights, personal information, etc.).

  2. Disputes arising from members' Input Data or its use are resolved at the members' responsibility and expense; if damages occur to the Company, members must compensate for them and indemnify the Company.

Article 12 (Paid Services)

  1. The Company may provide paid services, with the usage fees, billing methods, range of provision, usage period, and automatic payment status following the contents displayed in the payment policy or service screen.

  2. The Company can change the composition and price of paid services, and will provide prior notice or consent procedures in accordance with relevant laws and policies when changes are made.

  3. Free trials, coupons, promotions, etc. are provided only under conditions and periods specified by the Company, and may be restricted if abuse is suspected.

Article 13 (Withdrawal, Termination, and Refunds)

  1. Withdrawal (cancellation), termination, and refunds of paid services are subject to the criteria established in relevant laws and the payment policy.

  2. Due to the nature of digital content/services, withdrawal may be restricted as per reasons stipulated by law once service provision has commenced.

  3. Details regarding the refund process, timing, deduction criteria, and criteria applicable for termination of recurring payments are subject to the payment policy.

Article 14 (Restrictions on Use and Termination of Contract)

  1. If a member violates these terms or policies or disrupts the normal operation of the service, the Company may take measures such as warnings, suspensions, partial functionality restrictions, or termination of the service contract, depending on the severity of the violation.

  2. The Company may provide guidance on the reasons for the restrictions and how to contest them (in urgent cases or when major breaches are anticipated, actions may be taken before notification).

  3. Members may terminate (withdraw) the service contract at any time in accordance with the procedures set by the Company. However, if using paid services, the settlement/refund regulations under the payment policy will apply.

Chapter 4 Prohibited Acts

Article 15 (Prohibited Acts)

Members must not engage in the following acts.

  1. Acts that violate laws or public morals.

  2. Acts that infringe upon the rights (copyright, trademark rights, trade secrets, etc.) or personal rights of others.

  3. Acts that cause excessive load on the service or server or use the service in an abnormal manner (abuse of automation, bulk requests, etc.).

  4. Acts that bypass or disable the security features of the service or exploit vulnerabilities (hacking, spreading malware, etc.).

  5. Acts that provide illegal or harmful information using the results or service, or that incite discrimination, hatred, violence, or defamation.

  6. Acts of duplicating, reverse engineering, or imitating the service to develop competitive services without the prior written consent of the Company.

  7. Other acts that the Company reasonably determines would cause significant disruption to the operation of the service.

Chapter 5 Intellectual Property Rights and Data

Article 16 (Intellectual Property Rights)

  1. All rights relating to the service and relevant software, UI/UX, trademarks, logos, documents, models, algorithms, etc. belong to the Company or legitimate rights holders.

  2. These terms grant members a limited right to use the service on a non-exclusive, non-transferable, non-sublicensable basis, and do not imply the transfer of other rights.

Article 17 (Use of Results)

  1. Members may use the results for lawful purposes (reference for business/marketing/decision-making) within the scope of compliance with these terms and policies.

  2. Members may not use the results in a manner that misleads others about the existence of the results or uses the Company's trademarks/brands without permission.

  3. Members must ensure that the use of results does not violate laws or infringe upon third-party rights.

Article 18 (Processing of Input Data and AI Learning)

  1. Matters regarding personal information shall comply with the privacy policy.

  2. Unless the member gives separate consent, the Company shall not use the member's input data in identifiable forms for the purpose of training the Company’s AI models. However, logs/statistics for service provision, security, failure response, settlement, and quality improvement may be processed within the bounds permitted by applicable laws and policies.

  3. The Company may set separate policies for the storage period, backup, and deletion of input data as necessary for service operation and security, and the specific contents will be detailed in policies or guidance documents.

Article 19 (Priority of Corporate Contracts)

If there are separate written contracts (master contracts, orders, SLAs, etc.) between corporate clients and the Company, such contracts may take precedence over these terms.

Chapter 6 Liability and Dispute Resolution

Article 20 (Obligations of the Company)

The Company shall not engage in acts prohibited by relevant laws or these terms and shall strive to provide a stable service.

Article 21 (Obligations of Members)

Members must comply with these terms and policies, and relevant laws, and shall be responsible for any issues arising from violations.

Article 22 (Compensation for Damages)

If the Company or a member causes damage to the other party due to violations of these terms, the liable party must compensate for damages. However, the Company's liability for damages is limited according to Article 23 (Disclaimer and Limitation of Liability).

Article 23 (Disclaimer and Limitation of Liability) [Enhanced]

  1. The Company provides services and results “as is” and disclaims all explicit and implicit warranties (accuracy, completeness, timeliness, reliability, suitability for a particular purpose, non-infringement, merchantability, uninterrupted/error-free, security, etc.) to the maximum extent permitted by law.

  2. To the maximum extent permitted by law, the Company is not liable for any damages arising from the following reasons.

    1. Accuracy/reliability/reality suitability of the results, or reliance on/use of the results by members.

    2. Errors, omissions, illegality, or infringement of rights in member input data or third-party provided data/content.

    3. Deletion, loss, damage, modification, or failed recovery of data/content occurring during the use of the service.

    4. Service interruptions, delays, failures, performance degradation, system inspections/maintenance, surges in traffic.

    5. Security incidents (hacking, malware, third-party intrusions, etc.) or illegal acts by third parties.

    6. Members’ equipment/network/environment, external platforms/integrated services/API failures, changes to third-party services.

    7. Force majeure events such as natural disasters, power outages, failures of telecommunications providers, national emergencies.

  3. To the maximum extent permitted by law, the Company shall not be liable for any indirect, special, incidental, punitive, or consequential damages (including but not limited to business loss, loss of profits, reduced revenue, lost opportunities, damaged reputation, costs for procuring substitute services, data loss/recovery costs) in any case.

  4. Even where the Company's liability is recognized under the law (notwithstanding the limitations in paragraph 3 above), the total amount of damages the Company is liable for shall not exceed the total amount of fees actually paid by the member to the Company for the paid services directly related to the damage during the 12 months preceding the occurrence of the damage. (Free trials/free provisions are excluded from the calculation).

  5. The Company shall not be liable for free services (free plans, trials, promotions, etc.), unless otherwise specified in the law.

  6. However, this section does not apply to damages resulting from the Company's intent or gross negligence, or to damages for which related laws do not allow exemption or limitation.

Article 24 (Governing Law and Jurisdiction)

  1. These terms shall be interpreted and enforced in accordance with the laws of the Republic of Korea.

  2. In the event of a dispute arising in connection with the use of the Service, the parties shall attempt to resolve the dispute amicably, and if an agreement cannot be reached, may file a lawsuit in the competent court under the Civil Procedure Act.

Supplementary Provisions

These terms shall take effect from February 27, 2026.
