PLEASE READ CAREFULLY. THESE TERMS CONTAIN IMPORTANT PROVISIONS, INCLUDING LIMITATIONS OF LIABILITY, A JURY TRIAL WAIVER, AND A CLASS ACTION WAIVER.
1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms of Use (the "Terms"). If you do not agree, do not access or use the Service. If you are using the Service on behalf of a company or other entity, you represent that you are authorized to bind that entity, in which case "you" means that entity.
2. Eligibility
You must be at least 16 years old to use the Service. You represent that you have the legal capacity to enter into a binding contract and that you are not barred from using the Service under applicable law, including export control or sanctions laws.
3. Account Registration and Security
You may need an account to use some or all of the Service. You agree to provide accurate information, keep your credentials confidential, and notify us promptly of any unauthorized use. You are responsible for all activities under your account.
4. Permitted Use; Prohibited Conduct
You may use the Service only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you will not:
Reverse‑engineer, decompile, disassemble, or derive source code, models, datasets, or trade secrets from the Service, except to the extent such restriction is prohibited by applicable law.
Access the Service using automated means (including bots, crawlers, or scrapers) without our prior written consent.
Exceed any documented or implied rate limits, concurrency limits, or usage caps; circumvent or disable security, rate‑limiters, or access controls; or attempt to probe, scan, or test the vulnerability of any system or network.
Copy, reproduce, frame, mirror, resell, rent, lease, sublicense, or otherwise commercially exploit the Service or any portion thereof, except as expressly permitted by us in writing.
Reproduce, replicate, or utilize any part of U6’s features, designs, concepts, or ideas to develop a similar or competing product or service.
Input, upload, or transmit malicious code; infringe others’ rights; violate privacy or data protection laws; or use the Service for illegal, harmful, or high‑risk purposes (including life‑critical, medical diagnosis or treatment, or safety‑critical systems) unless expressly authorized in writing.
Misrepresent your identity or affiliation, or interfere with other users’ access to the Service.
We may monitor use for compliance and security, and we may suspend or terminate access for violations.
5. Intellectual Property; Feedback
All content, design, text, graphics, logos, screenshots, datasets we provide, software, models, and code in or underlying the Service are owned by U6 or its licensors and are protected by intellectual property laws. Except for rights expressly granted to you, U6 reserves all rights. If you send us ideas, suggestions, or feedback ("Feedback"), you grant U6 a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty‑free license to use and exploit the Feedback without restriction.
6. AI Output; Your Content; Usage Data
AI Outputs. Content generated by the Service ("AI Output") is machine‑generated and may be inaccurate, incomplete, or inappropriate. You are responsible for evaluating and verifying AI Output before relying on it. AI Output is provided for research and UX insight purposes only and is not professional advice.
Your Content. You may submit input, prompts, files, websites, designs, logs, or other content to the Service ("Your Content"). You retain ownership of Your Content. You grant U6 a worldwide, non‑exclusive, royalty‑free license to host, store, process, reproduce, and display Your Content as necessary to provide and improve the Service. You represent that you have all rights necessary to submit Your Content and that Your Content does not violate law or third‑party rights.
Usage Data & Improvements. We may collect and use de‑identified or aggregated information derived from use of the Service ("Usage Data") for analytics, security, quality assurance, and to develop and improve the Service. U6 will not attempt to re‑identify de‑identified data.
Confidential Information. Do not submit confidential information unless necessary. If you do, you are responsible for applying appropriate safeguards (e.g., redaction, synthetic data). U6 will implement reasonable administrative, technical, and physical safeguards designed to protect the Service and the information we process, but we do not guarantee absolute security.
7. Third‑Party Services and Links
The Service may rely on or link to third‑party websites, services, models, or datasets (e.g., payment processors, browsers, cloud providers). U6 is not responsible for third‑party services and does not endorse them. Your use of third‑party services may be governed by those parties’ terms and privacy policies.
8. APIs; Rate Limits; Fair Use
If we provide an API, SDK, or developer tools, your use must comply with documentation, security requirements, and rate limits. We may modify or suspend APIs and rate limits at any time. You will not cache or store any data from the Service contrary to our documentation or applicable law.
9. Beta, Trial, and Pre‑Release Features
We may offer alpha, beta, trial, or experimental features ("Beta"). Beta is provided "AS IS" without warranties and may be discontinued at any time. We may restrict features, usage, or access for Beta.
10. Subscription, Fees, and Taxes
Some features require payment of fees. Fees, plan limits, and billing terms are presented at checkout or in an order form and are incorporated by reference. You authorize us and our payment processors (e.g., Stripe) to charge your payment method for the fees and applicable taxes. Unless stated otherwise: (a) fees are non‑refundable; (b) subscriptions renew automatically at the then‑current rates unless canceled prior to renewal; and (c) you are responsible for all taxes, duties, and similar charges (other than U6’s U.S. income taxes). We may suspend or terminate access for late or failed payments.
11. Term; Suspension; Termination
We may suspend or terminate your access immediately for actual or suspected violations of these Terms, non‑payment, or risk to the Service or others. You may stop using the Service at any time. Sections that by their nature should survive (including Sections 5–6 and 12–27) will survive termination.
12. DMCA and Copyright Complaints
If you believe content on the Service infringes your copyright, please send a notice to contact@u6.ai with: (a) your contact information; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location; (d) a statement that you have a good‑faith belief the use is not authorized; (e) a statement, under penalty of perjury, that the information is accurate and you are authorized to act; and (f) your physical or electronic signature. We may remove or disable access to allegedly infringing material and may terminate repeat infringers.
13. Privacy
Your use of the Service is subject to our Privacy Policy available at u6.ai/legal/privacy-policy (incorporated by reference). If we process personal data on your behalf as a processor, additional data processing terms may apply.
14. Security; Vulnerability Reporting
We employ safeguards designed to protect the Service. No method of transmission or storage is completely secure. To report a vulnerability or security issue, contact contact@u6.ai. Do not publicly disclose without giving us reasonable time to investigate and remediate.
15. Compliance; Export and Sanctions
You represent that you and your affiliates, owners, directors, and officers are not subject to U.S., U.K., E.U., or U.N. sanctions. You will not use the Service in or for the benefit of embargoed countries or prohibited parties and will comply with U.S. Export Administration Regulations and other applicable export control laws.
16. High‑Risk Use
The Service is not designed for use in hazardous environments or where failure could lead to death, personal injury, or severe environmental damage. You must implement appropriate human review and safeguards if using AI Output in any consequential context.
17. Service Availability and Changes
We may modify, discontinue, or impose limits on the Service (or any part) at any time, with or without notice. We are not liable for any unavailability or discontinuation.
18. Warranty Disclaimer
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE, SOFTWARE, MODELS, DATASETS, AND ALL CONTENT (INCLUDING AI OUTPUT) ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. U6 DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR‑FREE, SECURE, OR UNINTERRUPTED, OR THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE.
19. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, U6 AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, U6’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO U6 FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
20. Indemnification
You will defend, indemnify, and hold harmless U6 and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or relating to: (a) Your Content; (b) your use or misuse of the Service; (c) your violation of these Terms; or (d) your violation of law or third‑party rights.
21. Liquidated Damages for Unauthorized Automated Access, Scraping, or Misuse
In addition to any other rights or remedies, if you (or someone acting on your behalf) access the Service using automated means without our prior written consent; scrape, copy, or export data contrary to these Terms; bypass technical controls; or build a competing product using the Service or AI Output in violation of Section 4, you agree that U6 is entitled to liquidated damages reflecting a reasonable pre‑estimate of the harm caused by such conduct, including investigation, response, and business impact. Liquidated damages are set at the greater of: (i) USD $0.50 per record or page request obtained or attempted, or (ii) USD $5,000 per incident, capped at USD $250,000 per twelve‑month period, or actual damages, whichever is greater. These amounts are intended as reasonable estimates and not as a penalty. This Section does not limit U6’s right to seek injunctive relief.
22. Equitable Relief
You acknowledge that unauthorized use, access, or disclosure may cause irreparable harm. U6 may seek injunctive relief (including temporary restraining orders or preliminary injunctions) without posting bond, in addition to other remedies.
23. Governing Law; Venue; Jury Trial Waiver; Class Action Waiver
These Terms are governed by the laws of the State of Delaware, without regard to conflicts‑of‑law rules. Venue for any action arising out of or relating to these Terms shall lie exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of such courts. Jury Trial Waiver. YOU AND U6 WAIVE ANY RIGHT TO A JURY TRIAL. Class Action Waiver. YOU MAY BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
24. Force Majeure
U6 will not be liable for any delay or failure of performance resulting from acts beyond its reasonable control, including acts of God, labor disputes, internet or utility failures, cyberattacks, laws or regulations, pandemics, war, terrorism, or governmental actions.
25. Assignment
You may not assign or transfer these Terms without U6’s prior written consent. U6 may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.
26. Changes to Terms
We may update these Terms by posting a revised version with a new effective date. Changes apply prospectively. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
27. Notices
We may provide notices via the Service, by email, or by posting to our website. You consent to electronic communications. Formal legal notices to U6 must be sent to contact@u6.ai.
28. Severability; Waiver; Entire Agreement
If any provision is held unenforceable, it will be modified to the minimum extent necessary to be enforceable, and the remaining provisions will remain in effect. Failure to enforce any provision is not a waiver. These Terms, together with any order form and documents referenced herein (including the Privacy Policy and any data processing addendum, if applicable), constitute the entire agreement between you and U6 regarding the Service and supersede all prior or contemporaneous agreements on the subject matter.
29. Order of Precedence
If there is a conflict between these Terms and an order form or other written agreement signed by U6, the signed document will control to the extent of the conflict.
